Brian
Weber Racing Offers Program For Potential Associates
Charlotte,
NC (July 8th, 2003) - - As Brian Weber &
Associates Racing (BWR) continues to improve on their NASCAR
Busch Series organization, the team plans to announce a new
program that will attract potential associate partners.
"We have PlatinumOneCard Prepaid MasterCard as our
primary sponsor," said driver Brian Weber.
"However, this business is very expensive. While
PlatinumOneCard is doing everything possible to put us on the
track, we're looking to expand our program. Persons or
companies that would like to join the NASCAR ranks, but don't
have a lot of money to invest, can now invest through our
program."
Although sharing ownership with friends, family &
businesses is not a new concept, the approach Brian and his
new management team are taking is. We have a great business
plan in place and are very excited about getting started.
As a result of favorable responses from a prior press
release seeking a "Co -Owner," Brian and his
business colleagues decided shared ownership will work. It
turns out there are MANY people interested in being an owner
at some level so we are going to give them that opportunity.
We feel that with the addition of hundreds of owners involved
with our program, our fan base will increase and will help to
maximize the distribution & Brand awareness for the
PlatinumOneCard PrePaid MasterCard.
In 2002 BWR was born and joined the NASCAR Busch Series
tour. The team entered 25 events last season and
had respectable finishes on the Superspeedways at Daytona and
Talladega. The No. 84 Chevrolet Monte Carlo
crossed the line 16th at Talladega and 23rd "under
the lights" in Daytona.
As the team prepares for the second half of 2003 and the 2004
NASCAR Busch Series season, Brian has decided to position 40%
of his ownership for the purpose of raising annual working
capital. BWR will offer four levels of ownership.
In addition, the team intends to offer the shareholders some
owner privileges. Within this 40%, no one Shareholder may
purchase more than 10% of the total stock available.
"The team is confident that the program will be managed
effectively and will yield a competitive NASCAR Busch team on
the circuit," said Weber.
Here's how the Ownership works:
Units Offered:
Platinum Owner - $2500 --- 34 available
Gold Owner - $1000 --- 200 available
Silver Owner - $500 --- 300 available
Bronze Owner - $250 --- 500 available
Total Shares available: 1034
Each Owner of Shares agrees to pay a yearly maintenance fee
for each Share purchased. This allows for BWR to maintain the
program, plan, commit resources and maximize preparation
for the future.
Shares are transferable and resalable as well as willable and
inheritable. BWR will attempt to resale your share provided
there are no available Shares in your Ownership Group. If
Shares are available, the Share Owner is solely responsible
for the resale of their share.
Share Owners that fail to pay their maintenance fee 30 days
after due date face forfeiture of their Share to BWR.
Share Owners may upgrade to the next level if an opening
becomes available. Share owner must pay difference between
shares, the yearly maintenance fee and surrender their
existing stock to BWR.
Brian Weber & Associates will publish a "Team
Operating Requirement" for each season. This will include
the teams goals for the season and the projected dollar amount
of budgeted expenses.

1. You should carefully consider the possibility that your
entire investment may be lost. As such, you are encouraged to
evaluate the following risk factors and all other information
contained in this ownership agreement. Our Stock Units involve
a degree of risk. Any of the following risks could adversely
affect our business, financial condition and results of
operations, and could result in complete loss of your
investment.
We intend to Invest a majority of the profits from our racing
operations back into our race team.
In order to field a competitive race team, attract and
maintain personnel, and maximize sponsorship return our
business model contemplates that we will reinvest a majority
of the profit, if any, back into the race team.
We will have Broad Discretion in the use of the proceeds from
this offering.
Brian Weber Racing will have broad discretion over how the
unit proceeds are used. We will act in good faith to utilize
these proceeds in the most effective manner for the race team.
We plan to use the proceeds for:
Developing our race team to compete in a full 2004 NASCAR
Schedule
Develop our marketing capabilities
Improve our Program and Facilities
Generate working capital
Organizational Expenses
Personnel
Maintain our existing Equipment and Facilities
Our operations will be dependent on the success of our race
team.
Our ability to fully implement our business plan and the
success of our operation will be dependent upon the success of
our race team. If our race team fails to qualify for races or
finishes poorly on routine basis, the success of our team
could be adversely impacted. Teams that fail to qualify do not
generate and substantial purse revenue, and may experience a
reduction in sponsorship appeal.
We will be dependent on key personnel
Our success depends on the availability and performance of our
senior management and other key personnel. Since our
inception, we have relied heavily upon the expertise and
energies of a relatively small core group of people, most of
whom are not currently employed full-time. Upon completion of
this offering we intend on formalizing full time employment
agreements with key personnel.
Brian Weber will continue to exercise majority control of
Brian Weber & Associates, LLC and continue to make
decisions as well as designate his officers to make decisions
in the best interest of Brian Weber Racing.
